These Terms of Service ("Terms") govern your use of FacturAnd, a professional invoice management platform developed and operated by Brainboom ("we," "us," or "our"). By accessing or using FacturAnd, you agree to be bound by these Terms and our Privacy Policy.
About Brainboom: FacturAnd is proudly developed by Brainboom, Andorra's leading AI automation company with 8+ years of experience in AI and business process optimization. We specialize in creating innovative solutions that help businesses scale efficiently.

To use FacturAnd, you must be at least 18 years old and have the legal capacity to enter into binding agreements. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly for accounts that violate these Terms or engage in fraudulent activities.
Free Access Period: We are currently offering complete access to all FacturAnd features free of charge until August 1st, 2025, or such other date as we may determine in our sole discretion. This promotional period may be extended, modified, or terminated at any time without prior notice, subject to applicable law.
Pricing Authority: We reserve the absolute right, in our sole discretion, to: (a) implement, modify, or discontinue pricing plans at any time; (b) transition from free to paid services with reasonable notice (minimum 30 days for existing users); (c) adjust pricing based on market conditions, operational costs, or business requirements; and (d) offer different pricing to different users or user categories.
Service Availability and Continuity: While we strive to provide continuous service, we expressly reserve the right, in our sole and absolute discretion, to: (a) suspend, discontinue, or terminate the FacturAnd service entirely or any portion thereof, temporarily or permanently; (b) modify, limit, or restrict access to any features or functionality; (c) implement usage limits or restrictions; and (d) cease operations for any reason, including but not limited to business, technical, legal, or economic considerations.
Business Viability and Commercial Decisions: The continuation of FacturAnd as a free or paid service depends on various factors including, but not limited to, user adoption, operational costs, technical feasibility, market conditions, and overall business viability. We reserve the right to make commercial decisions regarding the service based on these factors without liability to users, provided we comply with applicable notice requirements.
Notice of Changes: Where reasonably practicable and required by law, we will provide notice of material changes to pricing or service availability. However, we may implement immediate changes in cases of emergency, legal compliance, security concerns, or force majeure events.

Our Rights: FacturAnd, its features, and all related intellectual property are owned by Brainboom. You receive a limited, non-exclusive, non-transferable license to use the service according to these Terms.
Your Data: You retain ownership of your business data and invoice content. By using FacturAnd, you grant us a limited license to process and store your data to provide our services and develop insights that benefit all users (in anonymized, aggregated form).
Brainboom Ecosystem: Your use of FacturAnd may provide opportunities to access other Brainboom products and services at preferential terms, subject to separate agreements.
As a Brainboom product, FacturAnd benefits from our extensive experience in secure data processing. We are committed to protecting your privacy and maintaining the highest security standards. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.
We implement EU-grade privacy protections and ensure your data is processed in compliance with applicable data protection laws, including GDPR and Andorran privacy regulations.
Uptime Commitment: We strive to maintain 99.9% service availability. While we work diligently to prevent downtime, we cannot guarantee uninterrupted service due to factors beyond our control.
Support: We provide customer support via email at howcanwehelp@brainboom.co. We aim to respond to support requests within 24 hours during business days.
Maintenance: We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may be performed without prior notice.
To the maximum extent permitted by law, Brainboom and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims related to FacturAnd shall not exceed the amount paid by you for the service in the 12 months preceding the claim, or €100, whichever is greater.
Business-Friendly Approach: We are committed to working with our customers to resolve any issues amicably and will make reasonable efforts to minimize any business disruption.
You agree to indemnify and hold harmless Brainboom, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of FacturAnd, violation of these Terms, or infringement of any third-party rights.
Your Right to Terminate: You may terminate your account at any time by contacting us at howcanwehelp@brainboom.co. We will provide you with your data in a portable format upon request, subject to technical limitations and applicable law.
Our Right to Terminate User Accounts: We may suspend, restrict, or terminate your account immediately and without prior notice for: (a) violations of these Terms; (b) fraudulent, abusive, or illegal activities; (c) threats to service security or integrity; (d) non-payment of fees when applicable; or (e) any conduct that we determine, in our sole discretion, is harmful to other users or our business interests.
Service Discontinuation Rights: We reserve the absolute and unconditional right to discontinue, suspend, or terminate the FacturAnd service entirely, with or without cause, at any time. This includes, but is not limited to, situations involving: (a) business reorganization, merger, or acquisition; (b) economic unfeasibility or lack of commercial viability; (c) technical obsolescence or infrastructure changes; (d) legal, regulatory, or compliance requirements; (e) force majeure events; (f) strategic business decisions; or (g) any other reason deemed necessary by Brainboom in its sole discretion.
Notice and Data Retrieval: In the event of service discontinuation, we will, where reasonably practicable, provide users with advance notice (target minimum: 30 days) and a reasonable opportunity to retrieve their data. However, in cases of emergency, legal requirements, or force majeure, immediate discontinuation may occur without prior notice. We shall not be liable for any costs, losses, or damages arising from service discontinuation.
No Guarantee of Service Continuity: Users acknowledge and agree that FacturAnd is provided "as available" and that continued service availability is not guaranteed. Users are advised to maintain their own backups and alternative solutions as appropriate for their business needs.
Effect of Termination: Upon termination of your account or discontinuation of the service, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of FacturAnd. We will retain your data for a reasonable period to allow for reactivation or data retrieval requests, after which it will be securely deleted unless legal obligations require longer retention.
Force Majeure Events: We shall not be liable for any failure or delay in performance of our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: (a) acts of God, natural disasters, pandemics, or other public health emergencies; (b) war, terrorism, civil unrest, or government actions; (c) labor disputes, strikes, or lockouts; (d) internet service provider failures, cyber attacks, or other technology disruptions; (e) supplier failures or supply chain disruptions; (f) regulatory changes or legal restrictions; or (g) other circumstances that make performance commercially impracticable or impossible.
Business Continuity Measures: In the event of force majeure or other business disruptions, we may, without liability: (a) suspend or limit service availability; (b) implement alternative service delivery methods; (c) modify service features or functionality; (d) temporarily or permanently discontinue certain aspects of the service; or (e) take any other measures deemed necessary to protect our business, users, or systems.
Economic and Commercial Viability: We reserve the right to modify, restrict, or discontinue the service if we determine, in our sole discretion, that continued operation is not economically viable, commercially sustainable, or strategically aligned with our business objectives. This determination may be based on factors including user adoption rates, operational costs, market conditions, competitive landscape, or return on investment considerations.
Limitation of Remedies: In any force majeure or business discontinuation scenario, your sole remedy shall be the right to terminate your account and retrieve your data (where technically feasible). We shall have no obligation to provide monetary compensation, service credits, or alternative solutions, except as may be required by applicable law.
We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide reasonable notice of material changes and, where appropriate, allow time for you to review and accept the changes.
Continued use of FacturAnd after the effective date of any modifications constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Andorra. Any disputes will be resolved through good-faith negotiation first. If necessary, disputes will be subject to the jurisdiction of Andorran courts.
Business-First Approach: We prefer to resolve any issues through direct communication and mutual agreement rather than formal legal proceedings.
